1. Introduction and Acceptance

By accessing or using the Lumi Trade platform (“Lumi Trade”, “we”, “our”, “the Platform”), you agree to be bound by these Terms & Conditions (“Terms”). These Terms govern your access to and use of all products, features, and services provided by Lumi Trade.

If you do not agree with these Terms, do not use Lumi Trade.

Lumi Trade is a decentralized, non-custodial protocol. Use of Lumi Trade may involve significant risks. You acknowledge that you use the platform entirely at your own risk.


2. Eligibility and Access Requirements

To use Lumi Trade, you confirm that:

  1. You are at least 18 years old and legally capable of entering a binding contract.

  2. You are not located in a prohibited or sanctioned jurisdiction.

  3. You use Lumi Trade in compliance with all applicable local laws and regulations.

  4. You understand that Lumi Trade does not custody any user funds.

  5. You are responsible for maintaining control of your wallet, private keys, seed phrases, and other login credentials.

Lumi Trade cannot recover lost wallet access, private keys, or assets.

Certain features may require additional verification depending on jurisdiction or risk controls.


3. Nature of the Service

Lumi Trade provides access to decentralized smart contracts that enable:

  • Perpetual contract trading

  • Zero-Fee Perpetual (ZFP) trading

  • Spot trading

  • Automated yield products

  • Airdrop & reward systems

  • Referrals, missions, tournaments

  • Liquidity participation (when launched)

You acknowledge and agree:

  • Lumi Trade is not a broker, exchange, intermediary, or custody provider.

  • All transactions occur directly on-chain via smart contracts.

  • Trades may fail, revert, or partially fill based on blockchain conditions.

  • Network fees (gas) may fluctuate at any time.

  • Blockchain events are irreversible once confirmed.


4. Trading Rules and User Conduct

When using Lumi Trade, you agree not to engage in any of the following:

  • Market manipulation, pump-and-dump schemes, wash trading

  • Front-running, sandwiching, or exploiting MEV intentionally

  • Abusing referral systems or rewards

  • Using bots in prohibited ways

  • Attempting to exploit smart contracts

  • Creating multiple wallets to bypass rules (Sybil behavior)

Lumi Trade reserves the right to restrict or disable access to users or addresses involved in abusive or malicious behavior.


5. Fees and Payments

Depending on the product, Lumi Trade may charge fees including but not limited to:

  • Zero-Fee Perpetual closing fee (only on profitable trades)

  • Spread and slippage

  • Liquidity provider fees (future)

  • Protocol fees

  • Network gas fees (paid to blockchain validators)

Lumi Trade may modify fee structures at any time.

You are solely responsible for paying:

  • Gas fees

  • Any applicable taxes on trading activity or rewards


6. Smart Contracts and Risks

All operations on Lumi Trade are controlled by smart contracts deployed on supported blockchains.

You acknowledge and accept:

  • Smart contract code may contain bugs, errors, exploits, or unexpected vulnerabilities.

  • Blockchain networks may experience congestion, downtime, or forks.

  • External data providers (e.g., price oracles) may malfunction or be manipulated.

  • You may lose partial or full value of assets due to:

    • Liquidation

    • Adverse price movement

    • Slippage

    • Protocol risk

    • Gas spikes

    • Incorrect transaction submission

Lumi Trade does not guarantee:

  • Exact execution price

  • Zero slippage

  • Zero risk

  • Profitability

  • Asset recovery in case of user error

You understand that DeFi involves substantial financial and technical risks.


All information on Lumi Trade — including documentation, user interface displays, charts, markets, and messages — is provided for informational purposes only.

Lumi Trade does not:

  • Provide financial advice

  • Recommend trading strategies

  • Guarantee returns or future performance

  • Offer legal or tax guidance

You are solely responsible for your decisions.


8. Limitation of Liability

To the maximum extent permitted by law, Lumi Trade and its contributors, developers, partners, or affiliates shall not be liable for:

  • Loss of funds or digital assets

  • Liquidations

  • Network or blockchain failures

  • Smart contract exploits

  • Incorrect trades submitted by the user

  • Loss of access to wallets or private keys

  • Gas fee spikes

  • Inaccurate or delayed price data

  • Any indirect, incidental, special, or consequential damages

You use Lumi Trade at your own risk, without warranties of any kind.


9. Indemnification

You agree to indemnify and hold harmless Lumi Trade, its contributors, partners, and affiliates from any claims, actions, damages, liabilities, or expenses arising from:

  • Your use or misuse of Lumi Trade

  • Your violation of these Terms

  • Your violation of any applicable law

  • Your activities on the blockchain


10. Modifications to the Platform

Lumi Trade may update, modify, or discontinue parts of the platform at any time. Changes may occur without notice.

Continued use of Lumi Trade after modifications constitutes your acceptance of the updated Terms.


11. Termination and Suspension

Lumi Trade may:

  • Restrict access

  • Suspend certain features

  • Block malicious or abusive addresses

  • Terminate your use of the platform

— with or without prior notice.

You may stop using the platform at any time.

Provisions such as Risk Disclosure, Limitation of Liability, and Indemnification will continue to apply even after termination.


12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the use of Lumi Trade, shall be resolved through individual arbitration in Hong Kong. You agree that:

  • You waive any right to participate in class actions, collective proceedings, or jury trials.

  • Arbitration shall be final and binding to the maximum extent permitted by law.

  • Claims must be brought on an individual basis only.

You are solely responsible for ensuring that your use of Lumi Trade complies with the laws applicable in your jurisdiction.


13. Force Majeure

Lumi Trade is not liable for delays or service interruptions caused by events beyond its control, including:

  • Network failures

  • Hacks or security incidents

  • Blockchain disruptions

  • Regulatory actions

  • Natural disasters

  • Third-party service outages


14. Assignment

You may not transfer or assign these Terms to another person without prior written consent. Lumi Trade may assign its rights under these Terms at its discretion.


15. Entire Agreement

These Terms constitute the entire agreement between you and Lumi Trade regarding platform use, superseding all prior discussions or communications.
